1. Services Provided
Brown Branding LLC (hereafter referred to as "Company") will deliver the services outlined in the chosen plan,
including but not limited to:
- Social media management.
- Graphic design hours.
- Reels and posts creation.
- Ad management and optional add-ons as specified.
2. Payment Terms
- Payments are due monthly in advance of services being rendered.
- Late payments may result in service interruptions or a late fee of 5% of the invoice total per week overdue.
- Add-on services, such as Anti-Cross Posting or additional graphic design hours, will be billed separately unless included in the package.
3. Client Responsibilities
- Provide all necessary access, materials, and approvals promptly to ensure successful service delivery.
- Maintain open communication and respond quickly to requests for feedback.
4. Ad Management and Budgets
- Ad spend is the client's responsibility and must be paid in advance if included in the plan.
- The Company is not liable for ad performance due to factors beyond its control, such as platform algorithm changes or client-imposed restrictions.
5. Refunds and Cancellations
- Refunds are not provided for services already rendered.
- Cancellation of services must be communicated in writing at least 30 days before the next billing cycle.
6. Intellectual Property
- All content created by the Company becomes the client’s property upon final payment.
- The Company reserves the right to use completed work for promotional purposes unless otherwise requested by the client in writing.
7. Confidentiality
- Both parties agree to keep proprietary information confidential and not disclose it to any third parties without prior consent.
8. Liability
- The Company is not responsible for any indirect or consequential losses resulting from the use of its services.
- Liability is limited to the amount paid for services in the preceding month.
9. Termination
- The Company reserves the right to terminate services for non-payment, breach of terms, or any actions damaging its
reputation.
- Upon termination, all unpaid balances become due immediately.
10. Amendments
- The Company may update these terms with 30 days' written notice to the client. Continued use of service constitutes agreement to the updated terms.
